Vehicle Selling Terms

Version 2026-10-04 · Effective October 4, 2026

ACar's role: ACar Technologies, Inc. operates the platform. Certain dealer, title, registration, tax, temporary-registration, and related motor-vehicle services are performed by or through ACar NJ LLC, a licensed New Jersey used motor vehicle dealer. ACar's exact role in any vehicle transaction depends on the signed transaction documents for that vehicle.

1. Listing Relationship

You remain the vehicle owner until the vehicle is transferred at closing. Before publication, you sign both the Seller Listing & Marketing Agreement and a Conditional Vehicle Purchase Agreement containing your fixed Net Seller Price. The conditional agreement is your standing offer to sell the vehicle to ACar NJ LLC during the 90-day offer period while the listing remains active. You may withdraw that unexercised offer by delisting. If ACar countersigns and sends you written notice before it receives your delisting request, ACar has exercised the offer and you must complete the seller-to-ACar acquisition closing, subject to the agreement's stated closing requirements.

2. Seller Requirements

  • You must be at least 18 and have authority to sell the vehicle. If the vehicle is titled to a business or other entity, you must provide proof of authority to sell and sign on the entity's behalf, and sale documents must bind the entity.
  • You must disclose known defects, accident history, title brands, liens, payoff amounts, odometer discrepancies, and material condition issues, and update ACar about material changes in mileage, condition, or use while the listing is active.
  • You must provide accurate photos, title documents, payoff documents, identity verification, and payout information.
  • You must not list stolen vehicles, vehicles you cannot sell, vehicles with concealed brands, or vehicles with undisclosed liens.

3. Valuation and Advertising

ACar valuations and recommended prices are estimates based on available market data and the information provided. They are not guaranteed offers, appraisals, or promises that a buyer will pay a specific price. ACar may revise recommendations after reviewing photos, title, condition, market changes, and documentation.

You may instead ask to list at your own price. A price you set is a request, not an agreed price: ACar reviews it and may accept it or propose a different price, and a price above ACar's recommendation may take longer to sell. Only the Net Seller Price stated in the agreements you sign before publication is binding.

4. Listing Incentive

ACar may offer a listing incentive — a one-time cash payment (in the amount shown on your valuation page and on your listing management page, and subject to change) sent to you when your listing goes live. The incentive is an advance against your sale, not an addition to your Net Seller Price and not a charge for ACar's services:

  • If your vehicle sells through ACar during your listing period, the incentive you received is deducted from your payout. For example, with a $10,000 Net Seller Price and a $50 incentive, you receive $50 when your car lists and $9,950 when it sells — $10,000 in all.
  • If your vehicle does not sell within the listing period (90 days), the incentive is yours to keep. You are never asked to repay it because ACar did not find a buyer.

Who qualifies. The incentive is only for listings that:

  • are listed at or below ACar's price — the valuation ACar gives you. If you set or request a price above ACar's price, the listing does not qualify, even if ACar later agrees to it; a price you set at or below ACar's price still qualifies;
  • have a clean title — a rebuilt, salvage, flood, lemon, or other branded or problem title does not qualify; and
  • did not need a manual valuation review for a reason about the vehicle (for example its title, condition, value, or limited market data). A delay caused only by an ACar system outage does not count against you.

The incentive is sent once all of the following are also complete: (1) your identity is verified, (2) ACar has approved and published your listing, (3) you have connected a valid bank/payout account, and (4) your listing is genuine and complete (valid VIN and the required photos and walk-around video). It is sent to your connected bank account automatically; if it has not arrived, you can also claim it from your listing management page. Whether your listing qualifies is shown on that page.

If you withdraw. While your Seller Listing & Marketing Agreement remains active, the listing is exclusive. If ACar has paid you a listing incentive and you withdraw your vehicle during that period while ACar is still working to sell it — by cancelling, selling or transferring it outside ACar, encumbering it, or refusing an agreed handoff — you must repay the incentive. Repayment does not delay or invalidate an otherwise effective cancellation. This is a return of money ACar actually paid you; it is not a cancellation fee or penalty, and it is never more than the amount you were paid. ACar may recover it by reversing the payment from the payout account it was sent to, or from a later amount ACar pays you, and will tell you when it does. ACar may also choose not to recover it.

You keep the incentive if the listing period ends without a sale, if ACar cancels or terminates your agreement, or if ACar decides not to purchase your vehicle. Section 6 of your signed Seller Listing & Marketing Agreement controls, and you initial that section separately before it applies.

ACar may additionally limit the incentive to vehicle types it expects to sell within a target time frame. A seller may hold only one outstanding incentive at a time: if you received an incentive for a vehicle that has not yet sold, you are not eligible for another until that vehicle sells.

The incentive terms — the amount and the rules above — are fixed for your listing when ACar values your vehicle, and are shown on your valuation page. ACar may change or discontinue the program for listings valued later. Listings valued before September 29, 2026 keep the terms they were shown at the time. ACar may decline, withhold, or reverse an incentive for listings that are fraudulent, duplicative, ineligible, misrepresented, or that violate these terms.

5. Net Seller Price and Seller Economics

The listing agreement and the Conditional Vehicle Purchase Agreement you sign before publication state the same fixed Net Seller Price. You do not receive the buyer's sale price, dealer fees, taxes, registration fees, or resale margin, and ACar does not routinely deduct repair, reconditioning, detailing, transport, or sale-preparation costs from your payout. Before exercise, ACar may decline to exercise or present a revised, non-binding offer if review reveals undisclosed issues. After exercise, the signed agreement's objective closing requirements and breach remedies control; ACar may not reduce the price merely because its buyer transaction or expected resale economics changed.

6. Fees, Exclusivity, and Cancellation

Exclusivity applies only while your listing is active. Before ACar exercises the standing offer, you may delist at any time through the available in-account control, an in-account message, or the configured support address; delisting is effective when ACar receives it and withdraws the unexercised offer. If ACar exercises first, later delisting does not cancel the resulting purchase obligation. ACar's non-circumvention protection applies only while the listing is active and only to buyer introductions made through ACar.

Cancellation may leave only two limited payment obligations: an incentive ACar actually paid, and a specific third-party expense you separately approved in writing before it was incurred, including the amount or cap and cancellation rule. Internal labor, overhead, ordinary marketing, expected profit, and undisclosed charges are not reimbursable cancellation costs.

7. Liens and Negative Equity

Financed vehicles are allowed. ACar may pay your lienholder directly from transaction funds. If your payoff exceeds your Net Seller Price, you must pay the difference (negative equity) before or at closing, as stated in your signed agreement.

8. Payment and Payout

Seller payout depends on the product selected, buyer payment settlement, pickup or delivery confirmation, title and lien review, signed documents, and ACar release approval. In ordinary buyer-funded sales, payout remains held for 24 hours after documented buyer handoff for a review limited to fraud, title/ownership/odometer issues, serious undisclosed pre-handoff defects, and material listing mismatches—not buyer remorse and not a mileage-based return rule. In early-acquisition sales, payout follows ACar's acceptance of title, possession, documents, and acquisition funding. Payouts are processed through Stripe or other disclosed payment providers. You may set up your payout account at any time, but payout is released only when the release conditions are met. ACar does not guarantee payout on a specific date. If ACar paid you a listing incentive for the vehicle, it is deducted from this payout as described under Listing Incentive.

9. Warranty Status and the Buyers Guide

In the dealer sale process there are two steps. First, ACar NJ LLC acquires the vehicle from you in reliance on your disclosures, your title documents, and your odometer certification; you make no warranty to ACar beyond your disclosures and the representations in your signed agreement. Second, ACar NJ LLC resells the vehicle to the buyer, and the buyer-side warranty status is governed by the vehicle-specific FTC Buyers Guide, any written warranty, New Jersey used-car warranty law where it applies, and the signed dealer-sale documents — not by your listing statements. ACar does not provide you a vehicle-condition warranty and remains responsible for its own services and non-waivable legal obligations.

10. Indemnification

You are responsible for documented losses directly caused by your fraud, intentional misrepresentation, knowing concealment, undisclosed ownership or lien claim, false mileage statement, or material breach of your signed seller promises. You are not responsible for buyer remorse, normal reconditioning, ordinary wear, ACar's own conduct, or ACar's statutory dealer, disclosure, or warranty obligations.
